Agreement #yescarlings
We love seeing your pictures featuring products we sell on social media all over the world, and sometimes we may request to share these pictures in our own channels. Such channels are mainly Carlings websites (Carlings.com/no/, /sv/, /fi/, /en/), but could also include other channels, for example Carlings newsletter, Carlings social media or in a store environment etc.
By responding to our request, with the hashtag #yescarlings, you and Carlings AS, reg. nr 981214781, ("Carlings"), enter into the agreement (the "Agreement") below with the following terms and conditions.
1. Terms and Conditions
You grant Carlings a non-exclusive, sub-licensable within the Varner group of companies to which Carlings belong, royalty-free worldwide right to use any pictures you have responded with #yescarlings (the ”Picture"), for marketing purposes, including but not limited to marketing, advertising, the website, newsletters, catalogs, e-mail and other customer communications, store materials and other marketing purposes (the "Purpose").
Carlings may not use the Picture outside the scope of the Purpose.
Carlings shall not sell, lease, transfer, assign or in any way make the Picture available to any third party without the prior written consent of the owner of the Picture except as explicitly set forth in this Agreement.
2. Personal data
Pictures including an individual person is considered to be personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (the "GDPR"). Carlings is the data controller and will process your personal data when you provide Pictures to us based on this Agreement. Your privacy is key to us and we want to make sure that you feel safe and informed when using our services, therefore Carlings handles personal data with the utmost care and in accordance with applicable data protection legislation. 3. Representations and warranties
Each party warrants and represents that it has, and undertakes that it will, continue to have for the term the legal capacity and required permissions necessary to perform its obligations under the Agreement, hereunder being over 16 years of age.
The owner of the Picture warrants and represents that he or she is the proprietor of the Picture and that he or she has been granted permission from any individuals appearing in the Picture to grant Carlings the right to use the Picture in accordance with the Agreement.
4. Termination
This Agreement shall enter into effect on the date when the owner of the Picture responds #yescarlings to Carlings’s request and remain in force until either of the Parties terminate the Agreement. Owner of the Picture may terminate the Agreement by contacting or sending an email to [email protected].
If Carlings breaches the Agreement, the owner of the Picture is entitled to terminate the Agreement at any time.
Upon the termination of this Agreement, the right granted to Carlings hereunder shall automatically cease and Carlings shall cease all future use of the Picture within one week after termination of the Agreement. Owner of the Picture understands that Carlings cannot delete copies of the Picture that have been published and downloaded by others, nor will printed material such as catalogues or store material be destroyed, but Carlings will cease new use of the Picture.
